General Terms and Conditions - Terms and Conditions

General
The General Terms and Conditions (hereinafter referred to as “GTC”) apply to business transactions with Eurebis AG. These terms and conditions are deemed to have been accepted at the latest upon receipt of the goods or services.

Buyer's terms and conditions of purchase that deviate from these terms and conditions are not valid for Eurebis AG. Deviations must be made in writing.

Offer and prices
The offers of Eurebis AG are subject to change and non-binding, especially in terms of quantity, price and delivery time. The prices are net prices plus the respective statutory VAT and shipping costs. Calculated shipping costs include handling costs and packaging material. Prices and models are subject to change. Eurebis AG reserves the exclusive right of ownership and copyright to offers and other documents. They may not be passed on to third parties or copied. 

Delivery
Delivery is made from the Eurebis warehouse or the CH warehouse of the upstream supplier. Eurebis chooses the shipping method and means of transport, the freight costs are at the expense of the buyer. The tariffs can be found in the current price list. Partial deliveries are permitted. Unavoidable events such as force majeure, strike, war, etc. entitle Eurebis to postpone delivery, or at best to withdraw from the contract. Even if carriage-free delivery has been agreed, the risk passes to the buyer as soon as the shipment has been handed over to the person carrying out the transport or has left the warehouse for shipment. Returns travel at the buyer's risk.

Payment
Unless otherwise agreed, all invoices are payable in Swiss francs and must be paid within 10 days without deductions. Eurebis AG reserves the right to deliver goods against advance payment. If the buyer is in default, Eurebis is entitled to charge interest on arrears of 8%. All dunning and collection fees are at the expense of the buyer. The buyer is only entitled to offset, withhold or reduce the claim, even if notice of defects or counterclaims are asserted, if the counterclaims have been legally established or are undisputed.

Retention of title
Until the purchase price has been paid in full, including any default interest and collection expenses, the reservation of title exists in favor of Eurebis AG.

Manufacturer's warranty
As a rule, a manufacturer's warranty of 12 months applies, please refer to the product descriptions for any exceptions. Warranty claims are limited to the terms and conditions of the respective manufacturer/supplier. 

Warranty/Liability/Returns
Eurebis AG assumes the warranty for verifiable material and manufacturing defects. The warranty period for business customers is 24 months. The legal regulations apply. Complaints must be made in writing within 8 days of receipt of the goods, otherwise the goods/service are considered approved. Claims for damages against Eurebis AG, e.g. production losses or loss of profit, are excluded in any case. Returns of defective products are only permitted after prior arrangement. A written error report and a copy of the invoice must be enclosed with the return. There is no general entitlement to return the ordered products. Returns of goods ordered in error are only possible by prior arrangement and may be charged with operating expenses of 20% of the invoice amount or at least CHF 50.00. Transport costs are at the expense of the customer. Returns deviating from these conditions will be returned to the customer unprocessed.

Place of jurisdiction
Place of jurisdiction is Niederurnen. Swiss law is applicable.
